2. Purpose

The purpose of this Agreement is to outline the terms and conditions under which the Advertiser will purchase advertising services from the Publisher to promote its products or services on the Publisher's platform(s). This Agreement complies with the rules and policies of Microsoft Ads.

3. Advertising Services

The Publisher agrees to provide the following advertising services to the Advertiser:

• Placement of advertisements (text, image, video, or other formats) on the Publisher's website or platform.
• Compliance with Microsoft Ads policies, including but not limited to content standards, prohibited industries, and targeting restrictions.

The Advertiser agrees to provide all necessary creative materials, copy, and assets required for the advertisements. The Advertiser warrants that all materials provided comply with applicable laws and Microsoft Ads policies.

4. Payment Terms

• Cost Structure: The Advertiser will pay the Publisher based on the agreed-upon pricing model, such as Cost-Per-Click (CPC), Cost-Per-Impression (CPM), or flat fee.
• Billing Cycle: Payments will be invoiced [monthly/weekly/bi-weekly] and are due within [number] days of receipt of the invoice.

The Publisher reserves the right to reject or remove any advertisement that violates these policies or is deemed inappropriate.

6. Intellectual Property

• The Advertiser retains ownership of all intellectual property rights in the advertisement materials provided.
• The Publisher may use the advertisement materials solely for the purpose of fulfilling its obligations under this Agreement.

7. Indemnification

The Advertiser agrees to indemnify, defend, and hold harmless the Publisher, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of:

• Any breach of this Agreement by the Advertiser.
• Any claim that the Advertiser's advertisement materials infringe upon the intellectual property rights of a third party.

8. Termination

• Either party may terminate this Agreement with [number] days' written notice to the other party.

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether written or oral, relating to the subject matter herein.

12. Amendments

Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
